Terms of Service

These Terms of Service ("Terms") govern your access to and use of Imoframe at imoframe.com(the "Service"), operated by Imoframe. By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

Imoframe is a software platform that helps real estate professionals turn listing photos into AI-generated video tours and related exports. Features, quality tiers, credit limits, and output formats may change over time.

You must provide accurate registration information and keep your account credentials secure. You are responsible for all activity under your account. You must be at least 18 years old and authorized to enter into these Terms on behalf of yourself or your organization.

Paid plans and credit packs are billed as described at checkout or on our pricing page. Fees are non-refundable except where required by applicable law. Credits and subscription allowances may expire or reset according to the plan selected. We may change pricing with reasonable notice for future billing periods.

You retain ownership of photos and other materials you upload ("User Content"). You grant Imoframe a limited license to host, process, transmit, and display User Content solely to operate and improve the Service, including sending images to our AI processing providers to generate videos.

You represent that you have all rights necessary to upload User Content and that it does not infringe third-party rights or violate applicable law.

Generated videos and related outputs are provided "as is." AI results may be imperfect, inaccurate, or unsuitable for a particular listing or marketing use. You are solely responsible for reviewing outputs before publishing or sharing them.

Subject to your compliance with these Terms and full payment of applicable fees, we assign to you our rights, if any, in the video outputs generated from your User Content, for your use in marketing the relevant property. We and our AI processing providers may retain and use de-identified, aggregated data derived from your use of the Service to operate, secure, and improve the Service, subject to our Privacy Policy.

You agree not to:

• Upload unlawful, misleading, or infringing content
• Attempt to reverse engineer, scrape, or abuse the Service
• Circumvent usage limits, billing, or security controls
• Use the Service to generate deepfakes or deceptive property representations
• Resell or sublicense the Service except as expressly permitted

Imoframe owns the Service, including its software, branding, and documentation. These Terms do not transfer any of our intellectual property to you except the limited rights needed to use the Service.

The Service relies on third-party infrastructure and AI providers. Your use of those features may also be subject to third-party terms. We are not responsible for third-party services outside our reasonable control.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IMOFRAME WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED US DOLLARS (USD $100), WHICHEVER IS GREATER.

You agree to defend, indemnify, and hold harmless Imoframe, its affiliates, and their officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of or related to: (a) your User Content; (b) your use of the Service in violation of these Terms or applicable law; (c) your violation of any third-party right, including intellectual property or privacy rights; or (d) any property listing, marketing claim, or representation you make using Service outputs.

We may suspend or terminate access if you violate these Terms, create risk for us or other users, or if required by law. You may stop using the Service at any time. Sections that by nature should survive termination will survive, including Sections 5, 6, 8, 10, 11, and 12.

Before filing a claim, you agree to try to resolve the dispute informally by contacting hello@imoframe.com and describing the issue. We will try to resolve the dispute informally within 30 days. Nothing in this section prevents either party from seeking injunctive relief where appropriate, or from exercising mandatory statutory rights that cannot be waived.

These Terms are governed by the laws applicable where Imoframe is established, without regard to conflict-of-law rules, and disputes will be subject to the exclusive jurisdiction of the courts located there, except where mandatory consumer protections in your country of residence require otherwise.

• Entire agreement: These Terms, the Privacy Policy, and any order or checkout confirmation constitute the entire agreement between you and Imoframe regarding the Service.
• Severability: If any provision is found unenforceable, the remaining provisions remain in full force.
• No waiver: Our failure to enforce any right or provision is not a waiver of that right.
• Assignment: You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
• Force majeure: We are not liable for delays or failures caused by events beyond our reasonable control, including outages of third-party infrastructure or AI providers.
• Electronic communications: You consent to receive notices and disclosures electronically, including by email or in-product notice.

We may update these Terms from time to time. If changes are material, we will provide reasonable notice by posting the updated Terms on imoframe.com or by email. Continued use after the effective date constitutes acceptance.
